I. General Terms and Conditions

§ 1 Basic provisions

(1) The following General Terms and Conditions apply to all contracts concluded with us as provider:

Unless otherwise expressly agreed, the inclusion of any conflicting terms and conditions used by the customer is hereby rejected.

(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
An entrepreneur is any natural or legal person or partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

 


 

§ 2 Formation of the contract

(1) The subject of the contract is the sale of goods.

We sell goods partly or exclusively as a commission agent, in our own name and on behalf of a third party as the owner of the goods.
Notwithstanding this, Sanpetuna UG (haftungsbeschränkt) is the contractual partner of the customer with all rights and obligations.

Our offers on the website are non-binding and do not constitute a binding offer to conclude a contract.

(2) The customer submits a binding offer by completing the ordering process via the online shopping cart system.
Before submitting the order, the customer may review, amend or cancel their order at any time.

By clicking the button “Order with obligation to pay”, the customer submits a legally binding offer.

(3) The contract is concluded when we accept the offer within two (2) days by e-mail confirmation confirming shipment or execution of the order.

If no confirmation is received within this period, the customer is no longer bound by the offer and any payments made will be refunded immediately.

(4) Order processing and contract-related communication take place primarily via e-mail. The customer must ensure that the e-mail address provided is correct and that receipt of e-mails is technically ensured.

 


 

§ 3 Right of retention, reservation of title

(1) A right of retention may only be exercised insofar as it arises from the same contractual relationship.

(2) The goods remain our property until full payment of the purchase price has been made.

(3) If the customer is an entrepreneur, the following shall additionally apply:

a) We retain title to the goods until all claims arising from the ongoing business relationship have been settled in full.
b) Resale in the ordinary course of business is permitted; resulting claims are hereby assigned to us in the amount of the invoice value.
c) In the event of processing or combination, co-ownership shall arise proportionally.
d) We shall release securities upon request insofar as their realizable value exceeds the secured claim by more than 10%.

 


 

§ 4 Warranty

(1) Statutory warranty rights apply.

(2) Consumers are requested to inspect goods upon receipt and notify us of obvious defects or transport damage without delay. Failure to do so does not affect statutory warranty rights.

(3) For entrepreneurs, the following deviations apply:

a) Only our product descriptions and manufacturer specifications are deemed agreed quality.
b) Warranty is provided at our discretion by repair or replacement.
c) The warranty period is one (1) year from delivery, except in cases of intent, gross negligence, injury to life or health, fraudulent concealment or statutory recourse rights.

 


 


§ 4a Special Provisions for Pre-Owned / Second-Hand Goods

(1) Nature of Pre-Owned Goods

All goods offered on sanpetuna.com are pre-owned, vintage or archive items, unless expressly stated otherwise.

Pre-owned goods may show signs of wear, age-related characteristics or minor imperfections. These do not constitute defects within the meaning of statutory warranty law, provided they are consistent with the item’s age, condition and description.

Product images, descriptions and measurements are provided to the best of our knowledge and belief. Minor deviations in color, texture or appearance—particularly due to lighting, screen settings or material aging—are possible and do not constitute defects.

 


 

(2) Condition Assessment

Each item is individually inspected and assigned a condition description based on a reasonable professional assessment.

Condition descriptions represent a subjective but careful evaluation and do not imply that the item is free from all imperfections.

Normal signs of use that do not impair the functionality or overall appearance of the item are not considered defects.

 


 

(3) Alterations & Customization

Pre-owned items may have been altered or adjusted by previous owners (e.g. tailoring adjustments).

Such alterations are considered part of the item’s condition and do not constitute defects, provided they are disclosed or reasonably recognizable.

No warranty is given for the reversibility of alterations.

 


 

(4) Authenticity

Sanpetuna applies commercially reasonable measures to verify the authenticity of all items offered.

However, due to the nature of the secondary market, absolute certainty cannot be guaranteed in every case.

If an item is proven to be inauthentic, Sanpetuna will refund the purchase price in full upon return of the item.

Further claims are excluded unless mandatory statutory provisions apply.

 


 

(5) Exclusion of Returns Due to Wear

Returns or warranty claims based solely on:

  • minor signs of wear,

  • age-related characteristics,

  • disclosed or reasonably recognizable imperfections,

  • subjective dissatisfaction with fit, patina or material feel,

are excluded, provided the item corresponds to its description.

 


 

(6) Condition Upon Return

Returned items must be in the same condition as delivered.

Returns will be rejected or refunds reduced if the item shows:

  • additional wear,

  • damage,

  • alterations,

  • removed or replaced tags or labels,

  • odors (e.g. perfume, smoke),

  • signs of use beyond inspection.

Sanpetuna reserves the right to deduct an appropriate amount to compensate for any loss in value.

 


 

(7) Handling for Inspection

Consumers are entitled to inspect goods only to the extent necessary to assess their nature, characteristics and functioning, comparable to an in-store inspection.

Any use beyond this inspection constitutes value-reducing handling.

 


 



§ 5 Choice of law

(1) German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For consumers, this choice of law applies only insofar as mandatory consumer protection provisions of their country of residence are not overridden.

3. Contract language and storage

3.1 The contract language is German.
3.2 The contract text is not stored permanently. Order data and legally required information are sent to the customer by e-mail after conclusion of the contract.

 


 

4. Essential characteristics of the goods

The essential characteristics of the goods are set out in the respective product descriptions.

 


 

5. Prices and payment conditions

5.1 All prices are total prices including statutory VAT.
5.2 Shipping costs are shown separately during the ordering process.
5.3 Available payment methods are displayed on the website.
5.4 Payment is due immediately unless otherwise stated.

 


 

6. Delivery conditions

6.1 Delivery terms and restrictions are shown in the respective offer.
6.2 For consumers, the risk of accidental loss passes upon delivery.
For entrepreneurs, delivery and shipment are at the customer’s risk.

 


 

7. Liability for defects

Liability for defects is governed by § 4 of these General Terms and Conditions.
